TSKB Real Estate Investment Trust Inc. (TSKB REIT) has signed a cooperation protocol with the Alzheimer’s Association of Türkiye (TAD) to support Alzheimer’s patients and their families. The cooperation aims to provide support to individuals living with Alzheimer’s disease and their families, while also raising awareness and strengthening public consciousness on the issue.

TSKB REIT has signed a cooperation protocol with the Alzheimer’s Association of Türkiye. The signing ceremony, held at Türkiye’s first Alzheimer Day Care Center, took place with the participation of Dilek Şahinöz, Chair of the Board of the Alzheimer’s Association of Türkiye, and Cengaver Yıldızgöz, General Manager of TSKB REIT. The cooperation marks a new step in the fields of social benefit and corporate social responsibility. Within this scope, the parties aim to support Alzheimer’s patients and their families, and to increase public awareness and consciousness.

Speaking at the signing ceremony, Cengaver Yıldızgöz, General Manager of TSKB REIT, stated that TSKB REIT is celebrating its 20th anniversary this year and emphasized that the company contributes to economic development through its operations and to cultural development through its social responsibility projects. While the Alzheimer’s Association of Türkiye prioritizes improving the quality of life of individuals affected by the disease and their families, it continues its activities in close cooperation with ministries, universities, healthcare institutions, and local authorities.

The Association also contributes to policymaking on Alzheimer’s disease and elderly health by serving on the advisory board affiliated with the General Directorate of Elderly Health under the Ministry of Family and Social Policies.

In its disclosure to the Public Disclosure Platform (KAP) dated December 31, 2024, TSKB Real Estate Investment Trust Inc. (TSKB REIT) announced:

“Ms. Nurlan Erol, General Manager of our Company, has submitted his request to retire effective December 31, 2024. Accordingly, the Board of Directors has resolved to appoint Mr. Cengaver Yıldızgöz as General Manager of the Company, effective January 1, 2025.”

Cengaver Yıldızgöz graduated from the Department of Business Administration (English) at Yeditepe University. While continuing his professional career, he completed his MBA with concentrations in Finance and Management at the same university. During his undergraduate studies, he also served as a Research Assistant.

Yıldızgöz began his professional career at the headquarters of Doğan Şirketler Grubu Holding Inc., where he held various managerial positions for ten years in the areas of finance, portfolio management, financial affairs, and investor relations.

He joined TSKB REIT in 2010 and has since served in several key leadership roles, including Deputy General Manager, Member of the Corporate Governance Committee, and Member of the Board of Directors of Anavarza Otelcilik Inc. (Divan Adana Hotel).

Effective January 1, 2025, Cengaver Yıldızgöz has been appointed as General Manager of TSKB Real Estate Investment Trust Inc.

Industrial Development Bank of Türkiye (TSKB) has obtained the required approval from the Capital Markets Board of Türkiye (CMB) to establish a Real Estate Investment Trust (REIT). Through its newly established REIT, TSKB will extend its extensive expertise in real estate valuation to the investment management field.


In addition to being Türkiye’s first privately owned development and investment bank, TSKB is also one of the country’s leading licensed real estate valuation institutions. The Capital Markets Board of Türkiye approved the incorporation of TSKB Gayrimenkul Yatırım Ortaklığı A.Ş. (TSKB REIT) at its meeting held on December 21, 2005. The company was approved with a registered capital ceiling of YTL 100 million and an initial paid-in capital of YTL 10 million.

TSKB Real Estate Investment Trust Inc. (TSKB REIT) officially launched the Pendorya Shopping Center project, to be developed in Pendik, at an event held at Esma Sultan Mansion on May 29. The launch brought together senior executives from leading retail chains and members of the press, while the evening featured a live performance by the renowned music group Dolapdere Big Gang.

Planned for completion in 2009, Pendorya Shopping Center was introduced to invited guests and the media during the launch event. TSKB REIT Signs Lease Agreement with Kipa for Pendorya Shopping and Lifestyle Center

TSKB Real Estate Investment Trust Inc. (TSKB REIT) has signed a lease agreement with Kipa for the 8,500-square-meter hypermarket space at Pendorya Shopping and Lifestyle Center, which is currently under development in Pendik, one of Istanbul's rapidly growing districts.

The lease agreement was signed between TSKB REIT and Kipa Kitle Pazarlama A.Ş.

Speaking at the signing ceremony, Korkut Ün, General Manager of TSKB REIT, stated that the company has adopted the principle of developing commercially and socially sustainable projects as "a reliable business partner" and "an investor that values expertise," drawing on the nearly 60-year institutional heritage of its founding shareholder, TSKB.

Recalling that construction of Pendorya Shopping and Lifestyle Center began in Pendik last year, Ün said:

Pendorya Shopping Center Brings a Giant Planetarium to Children During the Semester Break

Pendorya Shopping Center, which has brought a new shopping and lifestyle experience to Pendik one of the fastest-growing districts on Istanbul’s Asian side has prepared a colorful programme of activities to offer its young visitors an enjoyable semester break.

Pendorya Shopping Center, the first investment of TSKB Real Estate Investment Trust Inc. (TSKB REIT), has planned a different activity for each day of the semester holiday beginning on January 22. Free Cinema Tickets for the First 1,000 Children Bringing Their Report Cards

Remaining true to its “A World Full of Gifts” concept through ongoing surprises and thousands of gifts distributed to its visitors, Pendorya Shopping Center will reward the first 1,000 children who visit the shopping center with their report cards during the semester break with complimentary cinema tickets.

TSKB REIT to start to book building for public offering

The first REIT public offering of 2010 is going to be realized by TSKB REIT. TSKB REIT, the subsidiary of TSKB, which is the first private capital development and investment bank of Turkey goes public.

Final stage has been reached for the public offering works started to increase the existing paid capital within the upper limit of the registered capital of TL 200 million of TSKB REIT from TL 100 million to 150 million. The TSKB REIT shares to be offered publicly through book building during April 1-2, will be sold at the price range of TL 1,05 – 1,16. With the public offering# a capital increase of TL 50 m will have been realized by the restriction of privilege rights.

Next week, right after the public offering, 33,33% shares of TSKB REIT will start to be quoted on the ISE. Income expected between TL 52,5 m and TL 58 m from public offering will be used in new projects of TSKB REIT being initially the hotel investment in Adana.

While TSKB will act as the leader of the consortium during the public offering, Yatırım Finansman Menkul Değerler will co-lead. There are further 21 broker companies in the consortium established.

The first REIT to go public in 2010 within the frame of public offering

The press conference hold on the occasion of the public offering of TSKB REIT has been attended by Korkut Ün, CEO of TSKB REIT, Hakan Aygen, the Corporate Finance Manager of TSKB and Murat Tanrıöver, the Assistant General Director of Yatırım Finansman Menkul Değerler. Ün holding a speech at the press conference stated, that after the economical shrinking experienced in 2008 and 2009 in throughout the world, they were proud of being the first REIT to publicly open in 2010.

Ün expressed, that as TSKB REIT, they had time until February 2011 for public offering and added: “ However, backed up by the trust of having completed and launched an important project, we have decided to go to public primarily with the hotel project, of which the development works are ongoing and to evaluate all other investment alternatives. The income from public offering will be entirely kept at the company to be used in future investments. We think, that the general economic conjuncture offers an appropriate environment for public offering. As a matter of fact, the interest of domestic and foreign investors seen during our discussions is a prove of.'

Korkut Ün highlighting, that Turkey has become an attractive country not only for domestic investors but also for foreign investors in 2010 after experiencing fast falls in 2008 and 2009 in the real estate industry: 'According to investors, who evaluate the real estate industry today, Istanbul ranks 7th in the ranking of all existing real estate performance among 27 European metropoles. It ranks 5th in the opportunities of purchasing and 1st in terms of project development opportunities. Although not very fast, a regular recovery is expected in the industry.  2010 is being evaluated as a positive year in terms of REITs. Investors indicated that REITS would be preferred to their transparent and corporate management principles they have.

TSKB REIT to focus on commercial real estate

Ün, highlighting, that TSKB REIT keeping a growth-oriented business strategy at the forefront, is present at the strategically emerging real estates of Turkey stated as follows: “The investments of TSKB REIT focus mainly on commercial real estates. Investment opportunities, which may arise in residences and similar fields may become a current issue from time to time.”

Ün explained that the current portfolio of TSKB REIT consisted of the office buildings in Fındıklı in the size of about 20.000 m2 and the Tahir Han building in Karaköy bringing in rental income; the 80.000 m2 construction area in Pendik and the Pendorya shopping center located on a rent able area of 30.000 m2 and the land in the city center of Adana in the size of 3.600 m2 on which the development works of a city hotel are ongoing. He further stated, that the value of the subject real estate portfolio was at about TL 279 million.

According to information given by Ün, the volume of assets of TSKB REIT, which were recorded at TL 12 million at the end of 2006 increased to TL 298 million as of end of 2009, whereas the size of the equity capital increased from TL 12 million to TL 164 million. TSKB REIT”s net profit of TL 3 million in 2008 reached TL 55 million as of end of 2009 along with the completion and launch of the shopping center Pendorya.

Income obtained from the public offering to be used in new projects

Ün explaining, that the investment strategy of TSKB REIT was divided into four main headlines: focus on growth, vision of project development, sustainability and diversification of the portfolio, summarized the main targets of the projects within the coming period as follows: “As TSKB REIT, we focus on growth targets, which will be sustainable in our portfolio and which will provide on the long term. In this context, we plan to launch minimum one new project every year. We aim to enhance our portfolio with new projects, which will create value and bring highest income. Within the frame of such strategies, we take care that our investments are commercially and socially long term projects, integrated in their environment through appropriate positioning, projecting and management. We aim a wide range of portfolio consisting of mainly commercial real estates on accurate geographies. Especially with reference to commercial real estates, we move based on the principle of becoming one of the leading players of the industry.'

Major interest from foreigners

Murat Tanrıöver, the Assistant General Manager of Yatırım Finansman A.Ş. responding to the questions at the meeting, stated, that they have met 26 investors at 4 important finance centers being London, Frankfurt, Helsinki and Stockholm in Europe during the road show organized and that the interest in TSKB REIT shares was very high.

And Hakan Aygen, the Corporate Finance Manager of TSKB answered to the question, that there will be many REITs to be in the process of public offering and whether the demand will fall or not as follows: 'It is not important to be first or last in public offering. It is important, that the company and the public offering has a sound structure to determine the demand.'


Profile of Public Offering:

The shares of TSKB REIT, having succeeded in collecting a fourfold demand for shares during the process of public offering, have started to be quoted on the stock exchange with a "Bell Ceremony" organized at the ISE.

TSKB REIT, the first REIT offered publicly in 2010 and collecting about four times demand during the process of public offering during April 1-2, has started to be quoted on the Corporate Products Market under the symbol "TSREIT" at ISE.

The opening bell ceremony organized at the ISE on the occasion of the quotation of the TSKB REIT shares was attended by Vedat Akgiray, the President of the CMB, Hüseyin Erkan, the President of ISE, Halil Eroğlu, the CEO of TSKB, Orhan Beşkök, the Chairman of the Board of the Directors of TSKB REIT and Korkut Ün, the CEO of TSKB REIT.

Korkut Ün, the CEO of TSKB holding a speech on the ceremony said: "We are proud to join to the REITs quoted at ISE.  The increase of the number of REITs quoted on the stock exchange and of the volume will deepen the market and help to convert investment into real estates into a liquid investment tool.  With the public offering of TSKB REIT, we believed that we also contribute to this process."

At the end of the book-building, at which the final sales price per share was determined to be TL 1,05 and by the use of additional sales right, the free-float rate of the company has been 38,33.  During the public offering of TSKB REIT, 48% of the shares were sold to foreign corporate investors, 50% to domestic individual investors and 2% to domestic corporate investors.

At the end of the book-building, 22 foreign corporate investors demanded in total 61 million 441 thousand 361 lots; 4 thousand 575 domestic individual investors demanded in total 144 million 972 thousand 807 lots; 25 corporate domestic investors demanded 1 million 752 thousand 400 lots. 22 foreign investors, who had demanded 61 million 411 thousand 361 lots were distributed 27 million 600 thousand lots; from 4 thousand 575 domestic individual investors, who had demanded 144 million 972 thousand 807, 4 thousand 379 were distributed 28 million 750 thousand lots and 25 domestic corporate investors demanding 1 million 752 thousand 400 lots were distributed 1 million 150 thousand lots. While the free floating rate of TSKB REIT reached 38,33 upon intensive demand and by the use of the additional sales right, the volume of the public offering was recorded TL 60,4 as of the sales price determined.
